Terms of Service

Please review this Terms of Service and End-User License Agreement (“Terms”) thoroughly, as it outlines critical details about your legal rights, remedies, and responsibilities. If you do not fully accept these Terms, you must immediately cease accessing the Website, close the Application, and stop using the Services (as defined below).

Overview

Welcome to N’RICH INC, an integrated platform designed to simplify management for youth sports, camps, and educational programs. The N’RICH INC platform (“Platform”) is accessible to: (a) administrators who utilize N’RICH INC’s management tools to engage with participants; and/or (b) participants themselves.

For the purposes of this Agreement (as defined below), “participants” refers to N’RICH INC account holders who are: (i) individuals aged eighteen (18) or older participating in youth sports, camps, or educational programs; (ii) parents or legal guardians (“Guardians”) of participants under eighteen (18); or (iii) individuals aged thirteen (13) to eighteen (18) who have been explicitly authorized by both the relevant administrator and their Guardian (“Youth Participants”) to use the Services; provided, however, that Youth Participants are strictly prohibited from accessing and/or using the Website.

These Terms form a binding agreement between you and N’RICH INC, a Delaware corporation located at 2200 Wilson Blvd UNIT 320, Arlington, VA 22201 (“N’RICH INC,” “we,” “us,” or “our”). These Terms, along with the Youth Participant Terms, the N’RICH INC Privacy Policy, and any other relevant policies, terms, or agreements (collectively, the “Agreement”), govern your access to and use of: (i) the Platform; (ii) the website at https://nrich.com; (iii) the N’RICH INC mobile application; (iv) N’RICH INC’s social media profiles; and (v) any additional services or products offered by N’RICH INC.

By accessing the Services, you agree to be bound by the Agreement in its entirety. If you do not agree, you must not access or use the Services.

N’RICH INC reserves the right to revise, amend, or remove portions of these Terms at its sole discretion, without prior notice. Your continued use of the Services after such changes constitutes acceptance of the updated Terms.

1. Description of Service

N’RICH INC provides a Platform that enables administrators of youth sports, camps, and educational programs to leverage digital tools for management and communication with participants. To fully utilize features, you must create a member account (“Primary Account”) and provide accurate information including: full name, email, phone number, organization details, and other relevant information.

2. Conditions of Use

Your use of the Services is subject to the Agreement and applicable third-party terms. You agree that all information provided is accurate, current, and complete, and is governed by our Privacy Policy. You represent and warrant that you are providing only your own information or information you are authorized to share.

3. Account Security

If you receive a username, password, or other security information, you must keep it confidential. Your Member Account is personal, and you will not allow others to access the Services using your credentials. You will promptly notify us of any unauthorized access or security breaches.

4. Security and Data Protection

Keeping our clients’ data secure is an absolute top priority at N’RICH.

• Hosting on Microsoft Azure: N’RICH is hosted on Microsoft Azure, maintaining ISO and SOC 2 compliance.
• Application Security with Levo AI: N’RICH leverages the Levo AI platform for continuous API security and monitoring.
• Authentication and Encryption: Communications are secured with TLS 1.2 encryption. Data is encrypted at rest using AES-256. Two-factor authentication (2FA) is implemented.

5. Account Ownership Policy

N’RICH INC is not liable for disputes over Member Account or Organization Website ownership. In case of disputes, we will not alter ownership until we can reasonably identify the rightful owner. N’RICH INC’s ownership decisions are final.

6. Termination/Cancellation

Either N’RICH INC or you may terminate or cancel your Member Account at any time, with or without notice. Cancellation of your Member Account is your sole remedy for disputes with N’RICH INC.

7. Service Fees, Billing, and Refunds

7.1 Seat-Based Billing Model

N’RICH charges subscription fees based on the number of active “Seats” (Users) within your Organization. Seat Rates: Organization Admin/Manager: $5.00/month; Instructor: $2.50/month; Volunteer: $1.00/month. Fees are calculated on a daily pro-rated basis.

7.2 SaaS Application Add-Ons

Optional SaaS Extensions are billed on a monthly or annual basis, pro-rated from the date of activation.

7.3 Payment Method Requirements

Clients must maintain a valid credit card or approved payment method on file. By providing a Payment Method, you authorize N’RICH INC to store credentials and automatically charge for fees.

7.4 Refund Policy

• 0–24 Hours: 100% reversal of transaction and service fees.
• Day 2 – Day 30: 100% reversal provided the End User has not “Completed a Session.”
• Day 31+: N’RICH Service Fee is non-refundable.
• Usage Exception: If an End User has “Completed a Session,” the N’RICH Service Fee becomes immediately non-refundable.

7.5 General Payment Terms

You agree to pay your account balance promptly. Overdue amounts incur 1.5% monthly interest. Disputes must be notified within 60 days.

7.6 SMS Messaging

By providing your mobile telephone number and opting in, you consent to receive text messages from N’RICH INC. Message frequency varies. Standard message and data rates may apply. To opt-out, text STOP. For help, text HELP or contact support@nrich.com.

8. The Application

N’RICH INC provides clear disclosure about functions before installation. The Application can be removed using standard device functions. N’RICH INC grants a personal, non-exclusive, non-transferable license to use the Application while your account is active. Updates may occur automatically.

9. Third Parties and User Interactions

The Services may include links to third-party websites. Accessing third-party sites is at your own risk. N’RICH INC is not responsible for third-party content, services, or privacy practices.

10. Member Content; Feedback

You are responsible for all data or information uploaded through your account. By posting Member Content, you grant N’RICH INC a worldwide, royalty-free license to use, store, and distribute such content to provide and improve the Services.

11. Member Conduct

You agree not to use the Services illegally. You must not upload content that is fraudulent, defamatory, obscene, or violates intellectual property rights. Automated data mining is prohibited.

12. Intellectual Property

The Services and their content are owned by N’RICH INC or its licensors. You may not copy, modify, or reverse engineer Service content.

13. Copyright Infringement

To report infringement, provide our Copyright Agent (legal@nrichinc.com) with a description of the work, its location, and your contact details.

Users agree to defend and indemnify N’RICH INC from claims arising from misuse of the Services, violation of the Agreement, or infringement of rights.

16. Release and Waiver

You release N’RICH INC and waive all claims arising from your use of the Services, including privacy or moral rights claims.

17. Disclaimer of Warranties

18. Governing Law and Dispute Resolution

All disputes shall be resolved through final and binding arbitration in Arlington, Virginia, governed by the Federal Arbitration Act and Delaware law. Neither party may pursue class or representative actions. Claims must be filed within one (1) year of accrual.

19. Violations

Report Agreement violations to legal@nrich.com.

20. Privacy

You permit N’RICH INC to use your information per our Privacy Policy. Administrators must ensure equivalent protection for participant data.

21. Waiver and Severability

Failure to enforce a provision does not waive it. If any provision is deemed invalid, the remaining provisions remain in effect.

22. Entire Agreement

These Terms, along with the Privacy Policy and relevant Youth Terms, constitute the entire agreement between you and N’RICH INC.

23. Miscellaneous

N’RICH INC is not liable for failures beyond its control. No agency or partnership relationship is created.
