Terms of Service and End-User License Agreement

Please review this Terms of Service and End-User License Agreement (“Terms”) thoroughly, as it outlines critical details about your legal rights, remedies, and responsibilities. If you do not fully accept these Terms, you must immediately cease accessing the Website, close the Application, and stop using the Services (as defined below).

OVERVIEW

Welcome to N’RICH INC, an integrated platform designed to simplify management for youth sports, camps, and educational programs. The N’RICH INC platform (“Platform”) is accessible to: (a) administrators who utilize N’RICH INC’s management tools to engage with participants; and/or (b) participants themselves. For the purposes of this Agreement (as defined below), “participants” refers to N’RICH INC account holders who are: (i) individuals aged eighteen (18) or older participating in youth sports, camps, or educational programs; (ii) parents or legal guardians (“Guardians”) of participants under eighteen (18); or (iii) individuals aged thirteen (13) to eighteen (18) who have been explicitly authorized by both the relevant administrator and their Guardian (“Youth Participants”) to use the Services (as defined below); provided, however, that Youth Participants are strictly prohibited from accessing and/or using the Website.

As a Guardian, you are fully responsible and liable for any actions or omissions by your Youth Participants related to their use of the Services.

These Terms form a binding agreement between you and N’RICH INC, a Delaware corporation located at 2200 Wilson Blvd UNIT 320, Arlington, VA 22201 (“N’RICH INC,” “we,” “us,” or “our”). These Terms, along with the Youth Participant Terms, the N’RICH INC Privacy Policy (“Privacy Policy”), the Youth Participant Privacy Policy, and any other relevant N’RICH INC policies, terms, or agreements, including all documents explicitly referenced herein (collectively, the “Agreement”), govern your access to and use of: (i) the Platform; (ii) the website at https://nrich.com (the “Website”), the N’RICH INC mobile application (the “Application”), available on iPhone®, iPad®, iPod Touch®, Android®, and other mobile devices (collectively, “Mobile Devices”) through the Apple® App Store, Google Play® store, and other applicable platforms (the “App Stores”); (iii) the content, features, and services provided through the Platform, Application, and/or Website (collectively, “Content”); (iv) N’RICH INC’s social media profiles on third-party platforms, including Facebook®, Instagram®, X®, and YouTube® (collectively, “Social Media Profiles”); and (v) any additional services or products offered by N’RICH INC, whether you register as a user, and whether you are an administrator or participant. The Platform, Website, Application, Content, Social Media Profiles, and other services or products are collectively referred to as the “Services.” The terms “you” or “your” refer to administrators, participants, Guardians, Youth Participants, and all visitors, users, or others accessing the Services.

By accessing the Services, you agree to be bound by the Agreement in its entirety. If you do not agree to the Agreement, you must not access or use the Services.

If you are entering this Agreement on behalf of an entity or organization, you confirm that you have the authority to bind that entity/organization to the Agreement, and “you” or “your” will refer to that entity/organization. If you lack such authority, you are not permitted to access or use the Services.

THE AGREEMENT INCLUDES WARRANTY DISCLAIMERS, LIABILITY LIMITATIONS, RELEASES, A CLASS-ACTION WAIVER, AND A MANDATORY ARBITRATION REQUIREMENT FOR ANY CLAIMS AGAINST N’RICH INC, ITS PARENT, SUBSIDIARIES, AFFILIATES, AND MARKETING PARTNERS, WHO ARE EXPRESS THIRD-PARTY BENEFICIARIES OF THE ARBITRATION PROVISION. THESE PROVISIONS ARE FUNDAMENTAL TO THE AGREEMENT.

NEW JERSEY RESIDENTS ARE ADVISED TO REVIEW THEIR RIGHTS UNDER THE AGREEMENT, AS OUTLINED IN THE NEW JERSEY TRUTH-IN-CONSUMER CONTRACT WARRANTY AND NOTICE ACT (“TCCWNA”).

Facebook® and Instagram® are registered trademarks of Meta Platforms, Inc. (“Facebook”). X® is a registered trademark of X Corp. (“X”). N’RICH INC is not affiliated with Apple, Facebook, Google, or X, and the Services are not endorsed, managed, or sponsored by Apple or Google.

You confirm that: (A) you have read and understood all terms, conditions, policies, provisions, disclosures, and disclaimers in the Agreement; (B) the Agreement carries the same legal weight as a signed contract; (C) you explicitly accept and agree to abide by the Agreement; and (D) you have independently evaluated the Agreement and entered it without relying on any representations, guarantees, or statements beyond those explicitly stated in the Agreement.

In addition to these Terms and the Privacy Policy, as well as the Youth Participant Terms and Youth Participant Privacy Policy where applicable, your use of the Services may be subject to additional terms or privacy policies. Specifically, administrators’ use of the Services may involve amended or supplemental terms agreed upon directly with N’RICH INC that modify or supplement the Agreement.

N’RICH INC reserves the right to revise, amend, or remove portions of these Terms and/or the Youth Participant Terms at its sole discretion, without prior notice, except that changes to arbitration provisions, class action prohibitions, or other dispute resolution provisions (collectively, “Dispute Resolution Provisions”) will not apply to disputes arising before the change. If we make changes, we will post the updated Terms and/or Youth Participant Terms on the Website and Application home pages, indicating the last revision date at the bottom. Your continued use of the Services after such changes constitutes acceptance of the updated Terms and/or Youth Participant Terms. It is your responsibility to periodically check the Website and Application for updates.

1. DESCRIPTION OF SERVICE

N’RICH INC provides a Platform that enables administrators of youth sports, camps, and educational programs to leverage digital tools for management and communication with participants and other stakeholders. We may also collaborate with third-party entities to provide participants and administrators with exclusive events, opportunities, products, or services. To fully utilize the Services’ features, you must create a member account (“Primary Account”) as either an administrator or participant and: (a) for administrators, designate an organization website (“Organization Website”); and/or (b) for authorized Youth Participants, with Guardian approval, open a Youth Participant account (“Youth Participant Account,” collectively with Primary Account, “Member Account”). When creating a Member Account, you may be required to provide: (i) full name; (ii) email address; (iii) phone number; (iv) organization name (for administrators); (v) role within the organization (for administrators); (vi) role in the program (for participants); (vii) number of participants (for administrators); (viii) organization website (for administrators); (ix) organization zip code (for administrators); and (x) the name and email of the Youth Participant (for Guardians authorizing their child). All information provided must be accurate, current, and complete.

2. CONDITIONS OF USE

Your use of the Services and its features is subject to the Agreement and any applicable third-party terms. You agree that all information provided for registration or use of the Services is accurate, current, and complete, and is governed by our Privacy Policy and/or Youth Participant Privacy Policy. When providing or accessing information, including personal or participant-related data, you represent, warrant, and covenant that: (a) you are providing or accessing only your own information or information you are authorized to share; (b) as a Guardian authorizing a Youth Participant, you have the authority and consents to share their information; (c) the use of such information by N’RICH INC will not infringe intellectual property rights; and (d) you will not provide information that is harmful, fraudulent, threatening, or otherwise objectionable.

3. ACCOUNT SECURITY

If you receive a username, password, or other security information, you must keep it confidential. You agree that: (a) your Member Account is personal, and you will not allow others to access the Services using your credentials (except Guardians for Youth Participant accounts); and (b) you will promptly notify us of any unauthorized access or security breaches.

4. SECURITY AND DATA PROTECTION

Keeping our clients’ data secure is an absolute top priority at N’RICH. Our goal is to provide a secure environment while being mindful of application performance and user experience.

• Hosting on Microsoft Azure: N’RICH is hosted on Microsoft Azure, maintaining ISO and SOC 2 compliance.
• Application Security with Levo AI: N’RICH leverages the Levo AI platform for continuous API security and monitoring.
• Authentication and Encryption: Communications are secured with TLS 1.2 encryption. Data is encrypted at rest using AES-256 encryption. Two-factor authentication (2FA) is implemented for user accounts.

5. ACCOUNT OWNERSHIP POLICY

N’RICH INC is not liable for disputes over Member Account or Organization Website ownership. In case of disputes, we will not alter ownership until we can reasonably identify the rightful owner. We may request documentation, such as business licenses or government-issued IDs. N’RICH INC’s ownership decisions are final.

6. TERMINATION/CANCELLATION

Either N’RICH INC or you may terminate or cancel your Member Account or Organization Website at any time, with or without notice. Cancellation of your Member Account is your sole remedy for disputes with N’RICH INC.

7. SERVICE FEES, BILLING, AND REFUNDS

7.1 Seat-Based Billing Model N’RICH charges subscription fees based on the number of active “Seats” (Users) within your Organization during a billing cycle. (a) Seat Rates: Organization Admin/Manager: $5.00/month; Instructor: $2.50/month; Volunteer: $1.00/month. (b) Calculation: Fees are calculated on a daily pro-rated basis. No cash refunds for partial months.

7.2 SaaS Application Add-Ons Optional SaaS Extensions are billed on a monthly or annual basis, pro-rated from the date of activation.

7.3 Payment Method Requirements Clients must maintain a valid credit card or approved payment method on file. By providing a Payment Method, you authorize N’RICH INC to store credentials and automatically charge for pro-rated adjustments and recurring fees.

7.4 Refund Policy and Transaction Fee Reversal (a) 0–24 Hours: 100% reversal of transaction and service fees. (b) Day 2 – Day 30: 100% reversal PROVIDED the End User has not “Completed a Session.” (c) Day 31+: N’RICH Service Fee is non-refundable. (d) Usage Exception: If an End User has “Completed a Session,” the N’RICH Service Fee becomes immediately non-refundable.

7.5 General Payment Terms You agree to pay your account balance promptly. Overdue amounts incur 1.5% monthly interest. Disputes must be notified within 60 days.

7.6 SMS MESSAGING AND TELEPHONIC COMMUNICATIONS By providing your mobile telephone number and opting in to N’RICH INC’s SMS/Text Messaging service, you expressly consent to receive non-marketing and/or marketing text messages from N’RICH INC and its affiliates.

• Consent: You acknowledge that your consent is not a condition of purchase. You represent that you are the owner or authorized user of the mobile device used to subscribe.
• Message Frequency: Message frequency varies based on your interactions with the Services, including organization updates, session reminders, and account alerts.
• Fees: Message and data rates may apply from your mobile carrier. N’RICH INC is not responsible for any costs incurred by you for receiving or sending text messages.
• Opt-Out: You may cancel the SMS service at any time. To stop receiving messages, text STOP to the number from which you received the message.
• Support: For help, text HELP to the number from which you received the message, or contact our support team at support@nrich.com.
• Carrier Liability: Mobile carriers are not liable for delayed or undelivered messages.

8. THE APPLICATION

(a) Installation: N’RICH INC provides clear disclosure about functions before installation. (b) Uninstall: The Application can be removed using standard device functions. (c) App Stores: This Agreement is between you and N’RICH INC, not the App Store. (d) Updates: N’RICH INC may issue updates, bug fixes, or patches which may occur automatically. (e) Third-Party Software: Used at your sole risk. (f) License: N’RICH INC grants a personal, non-exclusive, non-transferable license to use the Application while your account is active.

9. THIRD PARTIES AND USER INTERACTIONS

The Services may include links to third-party websites and Interactive Features. Accessing third-party sites is at your own risk. N’RICH INC is not responsible for third-party content, services, or privacy practices.

10. MEMBER CONTENT; FEEDBACK

You are responsible for all data or information (“Member Content”) uploaded through your account. By posting Member Content, you grant N’RICH INC a worldwide, royalty-free license to use, store, and distribute such content to provide and improve the Services.

11. MEMBER CONDUCT

You agree not to use the Services illegally. You must not upload content that is fraudulent, defamatory, obscene, or violates intellectual property rights. Automated data mining is prohibited.

12. INTELLECTUAL PROPERTY

The Services and their content are owned by N’RICH INC or its licensors. You may not copy, modify, or reverse engineer Service content.

13. COPYRIGHT INFRINGEMENT

To report infringement, provide our Copyright Agent (legal@nrichinc.com) with a description of the work, its location, and your contact details.

14. LIMITATIONS OF LIABILITY

N’RICH INC IS NOT LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SERVICES. TOTAL LIABILITY IS LIMITED TO THE GREATER OF FEES PAID IN THE PRIOR SIX (6) MONTHS OR $1,000.

15. INDEMNIFICATION

Users agree to defend and indemnify N’RICH INC from claims arising from misuse of the Services, violation of the Agreement, or infringement of rights.

16. RELEASE AND WAIVER

You release N’RICH INC and waive all claims arising from your use of the Services, including privacy or moral rights claims.

17. DISCLAIMER OF WARRANTIES

THE SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. N’RICH INC DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

18. GOVERNING LAW AND DISPUTE RESOLUTION

All disputes shall be resolved through final and binding arbitration in Arlington, Virginia, governed by the Federal Arbitration Act and Delaware law. NEITHER PARTY MAY PURSUE CLASS OR REPRESENTATIVE ACTIONS. Claims must be filed within one (1) year of accrual.

19. VIOLATIONS

Report Agreement violations to legal@nrich.com.

20. PRIVACY

You permit N’RICH INC to use your information per our Privacy Policy. Administrators must ensure equivalent protection for participant data.

21. WAIVER AND SEVERABILITY

Failure to enforce a provision does not waive it. If any provision is deemed invalid, the remaining provisions remain in effect.

22. ENTIRE AGREEMENT

These Terms, along with the Privacy Policy and relevant Youth Terms, constitute the entire agreement between you and N’RICH INC.

23. MISCELLANEOUS

N’RICH INC is not liable for failures beyond its control. No agency or partnership relationship is created.
