Company: Nirch INC (“NRICH”, “we”, “us”, “our”)
Website/Apps: [nrich.com], subdomains, and NRICH mobile/desktop apps (the “Service”).
1) Who these terms cover
- Customer (Business/Organization): the company or organization that signs up to run programs on NRICH.
- Customer Admins/Staff: owners, admins, and staff invited by the Customer.
- Coaches: contractors or employees invited to coach.
- Parents/Guardians & Participants: individuals who browse a Customer’s marketplace, create family profiles, and enroll children.
By creating an account, accessing, or using NRICH, you agree to these Terms. If you use NRICH on behalf of an organization, you represent that you have authority to bind that organization.
2) What NRICH is (and isn’t)
NRICH is a SaaS platform to plan seasons and sessions, manage rosters, collect consents, run messaging automations, track attendance (including QR check-in), and route payments via Stripe Connect (“Payment Services”).
NRICH is not a bank, payment processor, employer, or insurer. Payment processing and payouts are provided by Stripe and subject to Stripe’s terms. Customers are responsible for their programs, staffing, pricing, policies, and compliance.
3) Accounts & eligibility
- Customer Admins/Staff & Coaches must be 18+.
- Parents/Guardians must be 18+ and may create profiles for children (Participants).
- You must provide accurate information and keep credentials secure. You’re responsible for all activity under your account.
4) Subscriptions, fees & billing
- Access to the Service may require a subscription and/or platform fees (“NRICH Fees”) as set forth on /pricing or your order form.
- Fee split slider: Customers can elect to absorb or pass through a portion of platform fees to parents/guardians at checkout.
- Taxes: Prices are exclusive of taxes. You’re responsible for applicable taxes.
- Changes: We may update pricing on renewal or with notice where permitted.
5) Payments, refunds & chargebacks
- Parents/Guardians pay for programs via Stripe-supported methods (cards, wallets, installments where available).
- Payouts to Customers/Coaches occur via Stripe Connect per your payout schedule and bank settings, subject to approval and any NRICH/Stripe holds to mitigate risk, fraud, or disputes.
- Refunds/partial refunds are initiated by the Customer and processed by Stripe.
- Chargebacks are handled under card network rules; you may be debited for chargeback amounts and fees.
6) Program storefronts & transactions
Each Customer has a marketplace storefront inside NRICH. Customer—not NRICH—sets prices, policies, eligibility rules, and program content and is the merchant of record for program sales. NRICH may collect/retain its service fees as agreed.
7) Onboarding, documents & consents
Customers can define coach onboarding requirements (e.g., driver license, certifications, photos) and parent/guardian consents (e.g., liability, medical, photo/media, pickup, conduct). Customer is solely responsible for the content of these requirements and for compliance with applicable laws (e.g., e-sign, minors’ consent).
8) Messaging & notifications
NRICH provides messaging automations (Email/Push/SMS) using templates and smart fields. You agree to:
- Only message recipients with a lawful basis and required opt-ins.
- Honor opt-outs and legal requirements (e.g., CAN-SPAM, TCPA, GDPR e-privacy).
- Be responsible for any content sent from your account.
9) Acceptable use
You will not:
- Use NRICH for unlawful, harmful, or discriminatory activities; harass or endanger minors; post or transmit infringement, malware, or unauthorized data scraping.
- Attempt to reverse engineer the Service, bypass security, or overload our infrastructure.
- Upload content you don’t have rights to share.
We may suspend or terminate access for violations.
10) Intellectual property
- Our IP: NRICH and its content are owned by us and licensed to you for your internal business use under these Terms.
- Your Content: You retain ownership of data you submit (“Customer Data”). You grant NRICH a license to host, process, transmit, display, and create Aggregated/Anonymized Data to operate and improve the Service.
- Feedback: You grant NRICH a royalty-free, perpetual license to use feedback and suggestions.
11) Data protection & privacy
- Roles: For Customer Data, NRICH acts as a processor; the Customer is controller. For NRICH’s own site/app analytics, marketing, and account records, NRICH is controller.
- Agreements: Our Privacy Policy and, where applicable, a Data Processing Addendum (DPA) govern personal data.
- Children: Parents/guardians manage children’s profiles and consents. NRICH is not a healthcare platform and is not HIPAA-compliant; do not store protected health information.
12) Third-party services
You may enable integrations (e.g., Stripe, Google Maps, Email/Push/SMS providers, calendars). Use of third-party services is governed by their terms; we are not responsible for their actions or availability.
13) Security
We implement reasonable technical and organizational measures. You are responsible for secure device use, user permissions, and credential hygiene. Notify us of suspected incidents at [security@nrich.com].
14) Warranties & disclaimers
The Service is provided “as is”. We disclaim all warranties (merchantability, fitness, non-infringement, quiet enjoyment). We don’t guarantee uninterrupted or error-free service or specific outcomes (e.g., attendance, revenue).
15) Indemnification
You will defend and indemnify NRICH against claims arising from: (a) your content or programs, (b) your breach of these Terms or laws, (c) disputes with coaches, parents, or participants, and (d) your use of third-party services.
16) Limitation of liability
To the maximum extent permitted by law:
- NRICH is not liable for indirect, consequential, special, or punitive damages.
- NRICH’s total liability is capped at the amounts you paid to NRICH in the 12 months before the claim.
Some jurisdictions do not allow certain limitations—your rights may vary.
17) Term, suspension & termination
These Terms apply while you use the Service. We may suspend/terminate for cause or risk. Upon termination, you must stop using the Service. We’ll provide data export for a reasonable period; then data may be deleted per our retention schedule (see Privacy Policy).
18) Changes to the Service or Terms
We may modify the Service and update Terms. If changes are material, we’ll notify you (e.g., by email or in-product). Continued use after the effective date constitutes acceptance.
